1. Scope and relationship to the Membership Agreement

These Terms govern your use of the Site only. They do not govern the membership relationship between Function and any person or business that has joined Function, or that attends a Function event.

If you have joined Function, the terms of your membership are set out in a separate written agreement, the Mind, Body and Business Membership Agreement (the 'Membership Agreement'), which you sign or accept at the point of joining. Those terms take precedence over these Terms in respect of your membership and your attendance at events. These Terms continue to govern your use of the Site outside the scope of your membership.

2. Eligibility and acceptance

By using the Site, you confirm that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement with Function. The Site and Function membership are intended for business and professional use by Founders and Business Owners, not for use by consumers in their personal capacity.

If you are using the Site on behalf of a company or other organisation, you confirm that you have the authority to bind that company or organisation to these Terms, and references to 'you' in these Terms include both you personally and the company or organisation you represent.

3. Intellectual property

3.1 Function intellectual property

The Site and all content, materials, designs, layouts, copy, images, videos, audio, software, code, trade marks, logos, branding and other intellectual property accessible through the Site are the property of Function or our licensors, and are protected by copyright, trade mark and other intellectual property laws.

The Function brand, our event formats and experiences, our membership frameworks, our written and recorded content, and the Mind Body and Pipeline podcast, together with any underlying methods, processes, templates and materials used in the delivery of our membership, are the property of Function. Nothing in these Terms transfers any right, title or interest in our intellectual property to you.

3.2 Your limited licence to use the Site

Subject to your compliance with these Terms, Function grants you a personal, non-exclusive, non-transferable, revocable licence to access and use the Site for your own internal business and information purposes. You may view, download and print pages from the Site for your personal, non-commercial use only, provided that all copyright and other proprietary notices are retained.

Except as expressly permitted by these Terms, you may not copy, reproduce, republish, upload, post, transmit, modify, adapt, translate, sell, resell, license, sublicense, exploit, distribute, broadcast, publicly display, create derivative works from, or otherwise use any material from the Site without our prior written consent. Unauthorised use of the Site or its content may give rise to claims for damages and may constitute a criminal offence.

3.3 Your content

If you submit, upload, post or otherwise provide any content to Function through the Site (including enquiries, comments, feedback or other materials), you confirm that you own or have all necessary rights to that content, and that the content does not infringe the rights of any third party.

You grant Function a non-exclusive, royalty-free, worldwide licence to use, store, display and process the content you submit, solely for the purposes of operating the Site, responding to your enquiry, and providing the membership and events you have signed up to. This licence ends when you withdraw the content or end your relationship with Function, except where we are required to retain the content by law or where it is necessary for an ongoing membership.

For testimonials, photography, video and any content created during or at a Function event or membership, the licence terms are governed by the Membership Agreement rather than by these Terms.

4. Acceptable use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict or inhibit any other person's use of the Site. Specifically, you agree that you will not:

  • Use the Site in any way that breaches any applicable law or regulation, whether in the United Kingdom or any other jurisdiction.

  • Use the Site to send, upload or transmit any material that is unlawful, harmful, threatening, defamatory, obscene, sexually explicit, infringing of any third party's rights, or otherwise objectionable.

  • Use the Site for any commercial purpose, or to compete with Function, including by scraping, mining, harvesting or otherwise collecting data from the Site for use elsewhere.

  • Attempt to gain unauthorised access to the Site, any account associated with the Site, the servers on which the Site is hosted, or any other systems or networks connected to the Site.

  • Introduce or attempt to introduce viruses, trojans, worms, logic bombs or any other material that is malicious or technologically harmful.

  • Use any automated system, software, robot, spider or other means to access the Site for any purpose, including monitoring or copying material from the Site, without our express written consent.

  • • Interfere with, disrupt or impose an unreasonable load on the Site or any related infrastructure.

  • Use the Site to impersonate any person or entity, or to misrepresent your affiliation with any person or entity.

  • Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying ideas, algorithms, structure or organisation of any software made available through the Site.

  • Use the Site to harass, abuse, stalk, threaten, defame or otherwise infringe the rights of any other person.

Function reserves the right to investigate any suspected breach of this section, to cooperate with law enforcement authorities, and to take any other action we consider appropriate, including suspending or terminating your access to the Site without notice.

5. Third party links and services

The Site may contain links to, or be integrated with, third party websites, services and resources, including LinkedIn, social media platforms, podcast platforms, our payment provider (Stripe), our customer relationship and automation platform (GoHighLevel), messaging services (WhatsApp), event partners and venues, and other external sites. These links and integrations are provided for your convenience and do not imply Function's endorsement, sponsorship or affiliation with the linked third party.

Function has no control over the content, privacy practices, security, accuracy or availability of any third party site or service. You access third party sites and services entirely at your own risk and subject to the terms and privacy policies of those third parties. Function accepts no liability for any loss or damage arising from your use of any third party site or service linked from the Site.

6. Bookings, events and commercial services

Where the Site enables you to book a discovery call, enquire about membership, book onto an event, or join Function, the commercial terms of your membership are set out in the Membership Agreement, which you accept at the point of joining. These Terms do not displace or modify those commercial terms.

Payments are processed by our payment provider, Stripe, and through the GoHighLevel platform. Function does not collect, store or have direct access to your full payment card details. Stripe acts as a separate data controller for the card data you provide and is subject to Stripe's own terms and privacy policy.

All fees stated by Function are exclusive of value added tax (VAT) or other applicable transaction taxes unless expressly stated otherwise. You are responsible for any taxes that apply to your purchase under the laws of your jurisdiction.

7. Events, physical activity and health

Function events are morning-led, movement-first, in-person experiences. They may involve physical activity and exertion, exposure to heat and cold (including sauna and ice), and time spent in outdoor environments. Participation in any Function event or activity is voluntary, and is subject to the health, safety and participation terms set out in the Membership Agreement.

By booking or attending a Function event, you confirm that you take part voluntarily and that you are medically fit and able to do so. You are responsible for your own health and safety, and for obtaining any medical advice and insurance you consider necessary. To the fullest extent permitted by law, Function accepts no liability for injury, illness, loss or damage sustained during or as a result of participation in any event or activity, save for any liability that cannot lawfully be excluded (including liability for death or personal injury caused by our negligence).

Any wellness, health, fitness, movement, nutrition or lifestyle content on the Site, in our podcast, or in our communications is provided for general information only. It is not medical advice and is not a substitute for advice from a suitably qualified healthcare professional. You should consult your doctor before starting any new physical activity.

8. Disclaimers

8.1 The Site is provided 'as is'

The Site, and all content, products and services made available through the Site, are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, Function makes no representations or warranties of any kind, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Without limiting the foregoing, Function does not warrant that the Site will be uninterrupted, error-free, secure, free of viruses or other harmful components, or that any defects will be corrected. Function does not warrant the accuracy, completeness, reliability or currency of any content on the Site.

8.2 Not professional advice

The content on the Site, including any case studies, examples, podcast episodes, newsletter content, lead magnets, free resources, event information and other material, is provided for general information purposes only. It does not constitute professional, legal, financial, accounting, tax, medical or marketing advice, and should not be relied on as such. You should seek advice from a suitably qualified adviser before making any decision based on the content of the Site.

Any commercial or personal outcomes referenced in our marketing material reflect particular cases and circumstances and do not constitute a guarantee of any specific outcome you will achieve through membership.

9. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by law, Function will not be liable to you for:

  • Any indirect, special, incidental, consequential or punitive damages.

  • Any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings or loss of opportunity.

  • Any loss of data or corruption of data, except where caused by our negligent failure to apply reasonable security measures.

  • Any losses arising from your use of, or inability to use, the Site or any content, product or service made available through the Site.

  • Any losses arising from any third party website, service or content linked from the Site.

Subject always to the first paragraph of this section, Function's total aggregate liability to you arising out of or in connection with your use of the Site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to one hundred pounds sterling (£100). Where you are a Function member, the limitation of liability set out in your Membership Agreement applies instead in respect of matters arising from your membership and your attendance at events.

10. Indemnity

You agree to indemnify, defend and hold harmless Function, its affiliates, and their respective officers, directors, employees, agents and contractors from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms.

  • Your use of the Site in a manner not authorised by these Terms.

  • Your violation of any law or the rights of any third party.

  • Any content you submit, upload, post or otherwise provide through the Site.

11. Accounts and credentials

Certain features of the Site may require you to provide information about yourself (for example, when subscribing to the newsletter, opting in to a lead magnet, booking a discovery call, booking onto an event, or joining Function). You agree to provide accurate, current and complete information when prompted, and to keep that information up to date.

Where you are issued with login credentials for any system operated by Function (including the GoHighLevel member portal), you are responsible for maintaining the confidentiality of those credentials and for all activities that occur under your account. If you suspect any unauthorised access to or use of your account, you must notify us immediately at [contact email]. Function is not liable for any loss or damage arising from your failure to keep your credentials secure.

12. Suspension and termination

Function reserves the right to suspend or terminate your access to the Site, or any part of it, at any time and without notice, where we reasonably believe that you have breached these Terms, that your conduct is harmful to Function, our members or other users, or that your conduct is unlawful.

On suspension or termination, you must immediately cease all use of the Site. Any provisions of these Terms that by their nature should survive termination (including sections on intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.

Termination of your access to the Site does not terminate your Function membership. The pause, cancellation and termination of your membership are governed by the Membership Agreement.

13. Force majeure

Function is not liable for any failure or delay in performance of its obligations under these Terms, or for the rescheduling or cancellation of any event, where the failure, delay or change is caused by an event beyond our reasonable control, including (without limitation) acts of God, severe weather, war, terrorism, civil unrest, pandemic, government action, regulatory intervention, fire, flood, extended utility outage, venue unavailability, or extended outage of a third party platform that is essential to our performance. Where an event is affected, we will provide alternatives wherever possible.

14. Privacy and data protection

Function's processing of personal data in connection with the Site is governed by our Privacy Policy, available at [website domain]/privacy-policy. By using the Site, you confirm that you have read and understood our Privacy Policy. We process personal data in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003.

15. Changes to these Terms or to the Site

Where changes are material, we will notify you by a prominent notice on the Site before the changes take effect.

Function may also modify, suspend or discontinue any part of the Site at any time, with or without notice, and without liability. We may add, remove or change features and content as we see fit.

16. General

These Terms, together with the Privacy Policy and any Membership Agreement you have entered into with Function, constitute the entire agreement between you and Function in relation to the subject matter of these Terms, and supersede all prior agreements, representations and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

Failure or delay by Function in exercising any right under these Terms does not constitute a waiver of that right.

You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent. Function may transfer or assign its rights and obligations under these Terms at any time without your consent.

These Terms do not create any partnership, joint venture, employment or agency relationship between you and Function.

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their terms.

17. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
